Plain-language summary

HisaabScore is a community-driven trust network where registered businesses share their own payment experiences with other businesses they have actually traded with.

Ratings are opinions. Every "Good payer", "Bad payer", or "Avoid" tag posted on HisaabScore is the personal opinion of the member who posted it, based on their own direct trade experience. Ratings are not statements of fact, legal findings, or financial advice, and they do not represent the views of HisaabScore.

By posting a rating you confirm that (a) you have actually done business with the company you are rating, (b) the rating reflects your honest first-hand experience, and (c) you are not posting it on behalf of a competitor or as retaliation.

One business (one GST) may register one account and may rate any given company at most once. We may remove ratings that appear to be fake, coordinated, or unrelated to a real transaction.

Owners of a listed company can claim their profile and post one public reply. Anyone who believes a rating is wrong or unfair can file a report and our moderators will review it.

1. Acceptance & Eligibility

These Terms of Use ("Terms") are a binding agreement between you and Bapna Digital Services OPC Pvt Ltd, operator of the HisaabScore platform ("HisaabScore", "we", "us"). The platform is offered only to registered businesses in India that hold a valid GST registration.

By creating an account or otherwise using HisaabScore, you confirm that you are at least 18 years old and that you are duly authorised to act for, and bind, the business you are registering. Continued use of the platform constitutes ongoing acceptance of these Terms (as updated from time to time).

2. Nature of the Service / User-Generated Content

HisaabScore is a neutral, technology-enabled platform that hosts payment-reputation opinions posted by its members about other businesses they have personally transacted with. All ratings, replies, evidence notes and disputes are user-generated content authored by the member who posted them.

HisaabScore is an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000 (and the rules made under it, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021), and avails of the safe-harbour protection available to intermediaries under Section 79 of that Act.

HisaabScore does not author, verify, endorse, sponsor or guarantee any rating, score, reply, comment or other content posted by members, and does not adopt those opinions as its own.

3. "As Is" / No Warranty

All scores, ratings, profiles, evidence summaries, badges and other information on HisaabScore are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of accuracy, completeness, reliability, currency, merchantability or fitness for a particular purpose.

Nothing on HisaabScore is a "credit score" or "credit information report" within the meaning of the Credit Information Companies (Regulation) Act, 2005 and the rules made under it. Nothing on HisaabScore constitutes legal, financial, investment, accounting or tax advice.

4. No Reliance

Members are solely responsible for their own commercial decisions. Any decision to extend credit, do business, terminate a relationship or take any other action based on information seen on HisaabScore is taken at the member's own risk and based on the member's own independent enquiry.

HisaabScore is not responsible for, and accepts no liability for, any loss, damage, cost or expense suffered by any person as a result of relying on any score, rating or other content on the platform.

5. Limitation of Liability

To the maximum extent permitted by applicable law, neither HisaabScore nor its founders, directors, employees, contractors or agents shall be liable to any user for any indirect, incidental, special, punitive, exemplary or consequential damages, or for any loss of profit, revenue, goodwill, business opportunity, data or reputation, arising out of or in connection with the use of (or inability to use) the platform or any content on it, even if HisaabScore has been advised of the possibility of such damages.

HisaabScore is not liable for any content posted by any user, including ratings, replies, evidence notes, dispute submissions and messages.

The total aggregate liability of HisaabScore (and the persons listed above) to any user for all claims, in contract, tort (including negligence), statute or otherwise, arising out of or in connection with these Terms or the platform, shall not exceed the greater of (a) INR 1,000 or (b) the fees actually paid by that user to HisaabScore in the three (3) months immediately preceding the event giving rise to the claim.

6. Indemnification

Each member agrees to defend, indemnify and hold harmless HisaabScore, its affiliates, and their respective founders, directors, employees, contractors and agents from and against any and all claims, demands, suits, proceedings, damages, losses, liabilities, fines, penalties, settlements, legal fees and other costs (including reasonable advocates' fees) arising out of or relating to:

  • any content the member posts or transmits on or through the platform;
  • any claim (including for defamation, breach of confidence, infringement of intellectual property, breach of privacy or data-protection law, or unfair trade practice) brought by any third party in connection with that content;
  • the member's misuse of the platform or breach of these Terms; and
  • the member's violation of any applicable law or regulation in connection with their use of HisaabScore.

7. Prohibited Conduct

Members must not, directly or indirectly:

  • post any rating, reply or evidence note that is fake, fabricated, retaliatory, paid-for, or made on behalf of a competitor of the rated business;
  • post content about a business with whom the member has not had a genuine trade transaction;
  • publish another person's or business's private, confidential or personally identifying information without lawful basis (including phone numbers, bank details, identity documents, or family information);
  • use the platform to harass, threaten, intimidate, abuse, extort or defame any person;
  • scrape, crawl, mirror, harvest or use any automated means to access, copy or extract data from HisaabScore, or attempt to bypass any rate-limit, authentication or access control;
  • reverse-engineer the platform, probe it for vulnerabilities (except via the responsible-disclosure channel below) or interfere with its operation; or
  • use the platform for any unlawful purpose.

8. Content Moderation, Notice & Takedown, and Grievance Redressal

HisaabScore may, at its sole discretion and without prior notice, remove, hide, downrank or otherwise act on any content that, in its reasonable view, violates these Terms, our Content Policy, or applicable law; or that is the subject of a good-faith complaint.

Notice and takedown. A person who believes that content on HisaabScore is unlawful, infringing, defamatory or otherwise wrongful may submit a written complaint via our takedown page or by email to the Grievance Officer below. Each complaint must identify the specific content, the basis of the objection and the complainant's contact details, and must be accompanied by a good-faith statement that the information is accurate.

Grievance Officer. In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Grievance Officer for HisaabScore is Shelly, contactable at info@hisaabscore.com. The Grievance Officer will acknowledge each complaint within 24 hours and will endeavour to dispose of it within 15 days of receipt, in line with the timelines prescribed by the Rules.

9. Account & PIN Responsibility

Each member is responsible for safeguarding their email, OTP codes, sign-in PIN (if any) and any other authentication credentials, and for all activity that occurs under their account. Members must promptly notify HisaabScore of any suspected unauthorised access. HisaabScore is not liable for any loss arising from a member's failure to keep their credentials confidential.

10. Termination & Suspension

HisaabScore may suspend or terminate any account, with or without notice, where it reasonably believes the member has breached these Terms, the Content Policy or applicable law, or where suspension is necessary to protect the platform or its users. Members may close their account at any time from their dashboard. Provisions that by their nature should survive termination (including liability, indemnity, governing law and the disclaimers in these Terms) will survive.

11. Changes to the Terms

HisaabScore may update these Terms from time to time. The "Last updated" date at the top of this page will reflect any change. Material changes will be brought to members' attention via the app or email. Continued use of the platform after a change takes effect constitutes acceptance of the updated Terms.

12. Governing Law & Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by, and shall be construed in accordance with, the laws of India. The courts at Mumbai, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the platform, subject to any non-waivable right of a member to bring proceedings before another competent court under applicable law.
